1. Services

Sabian Carey provides professional services including, but not limited to:

• Information Technology (IT) consulting and support

• Drone and aerial imaging services

• Photography services

• Creative, technical and related professional services

The scope of services will be defined by a quote, proposal, booking confirmation, invoice or written agreement.

Services are provided on a reasonable skill and care basis. We do not guarantee any particular commercial outcome, financial benefit, technical result, or creative outcome unless expressly agreed in writing.

We reserve the right to decline, suspend or terminate services where:

• The requested work is unlawful or unsafe;

• The work falls outside our expertise;

• Required information or access is not provided;

• There is abusive, threatening or inappropriate conduct; or

• A conflict of interest exists.

2. Quotes and Pricing

Quotes are valid for 30 days unless otherwise stated.

Services may be charged on an hourly, fixed-price, project or retainer basis as specified in the relevant quote, proposal or invoice.

Current rates and fees are available on request and may change from time to time.

Any estimate of time or cost is provided in good faith only and is not a guarantee of the final cost unless expressly stated as a fixed-price quote.

Prices may change if:

• The scope of work changes;

• Additional work is requested;

• Site conditions differ from those described;

• Additional travel, equipment or resources are required;

• Third-party costs increase; or

• Circumstances arise that could not reasonably have been anticipated at the time of quoting.

Unless otherwise stated:

• Prices are in Australian Dollars (AUD);

• GST is included where applicable;

• Travel or out-of-pocket expenses may be charged separately; and

• Third-party costs may be passed on to the client.

Travel beyond 30 minutes from our base of operations may incur additional charges, including travel time charged at up to 50% of the standard hourly rate.

Clients are responsible for reasonable expenses incurred in delivering services, including permits, parking, accommodation, freight, consumables, specialised equipment hire, and third-party fees where applicable.

Any work requested outside the original scope may be charged at our standard rates unless otherwise agreed in writing.

3. Payment Terms

Invoices are payable within the timeframe stated on the invoice.

Deposits may be required for photography sessions, drone operations, special orders, projects requiring significant preparation, or where third-party costs are incurred before work commences.

Retainer or subscription services, where offered, are billed in advance and are non-refundable unless otherwise agreed.

Unless otherwise agreed, a minimum charge of one hour applies to on-site services.

This minimum charge applies regardless of whether the service is completed, the issue is resolved, or the desired outcome is achieved within that period.

Time spent travelling, diagnosing issues, preparing equipment, configuring systems, planning, consulting, capturing media, editing, communicating with clients, or liaising with third parties may be billable where reasonably necessary to provide the services.

Thereafter, time may be billed in 30-minute increments.

Services requested outside normal business hours may incur additional fees.

We reserve the right to suspend ongoing services, withhold deliverables, or cancel future bookings until outstanding amounts are paid.

Where permitted by law, we may recover reasonable debt collection or legal costs associated with overdue invoices.

Ownership of deliverables may remain with Sabian Carey until payment is received in full.

Nothing in these terms limits any rights or remedies available to us under applicable law.

4. Client Responsibilities

You agree to:

• Provide accurate and complete information;

• Provide safe and lawful access to sites, premises or equipment;

• Maintain current backups of important data unless backup services are specifically included;

• Obtain permissions required from third parties;

• Cooperate with reasonable requests for information;

• Review deliverables within a reasonable timeframe; and

• Ensure you have authority to engage us.

You warrant that any systems, files, photographs, accounts, equipment, property or information provided to us may be lawfully accessed, used or modified for the purpose of providing services.

We are not responsible for delays caused by missing information, restricted access, equipment failures, or circumstances outside our reasonable control.

5. Confidentiality

Sabian Carey will take reasonable steps to keep confidential information private and will not intentionally disclose confidential information obtained during an engagement except:

• Where required by law;

• With the client’s consent;

• Where disclosure is reasonably necessary to provide the services; or

• Where the information is already publicly available.

Clients acknowledge that the use of third-party services, including cloud providers, email systems and telecommunications networks, may involve the transmission or storage of information outside our direct control.

Where confidentiality, privacy, commercial sensitivity, or security concerns exist, clients should advise us prior to the engagement so appropriate arrangements can be discussed.

6. Client Property

Clients are responsible for ensuring that equipment, vehicles, personal belongings, and other property brought to or used during an engagement are appropriately secured and insured.

While reasonable care is taken, Sabian Carey is not liable for loss of or damage to client property except to the extent caused by our negligence or where liability cannot be excluded by law.

Clients acknowledge that some services involve inherent risks, including but not limited to outdoor activities, electronic equipment, aircraft operations, and the use of third-party systems.

7. Insurance

Sabian Carey maintains such licences, registrations and insurance as required by law and as considered appropriate for the services provided.

Clients remain responsible for maintaining their own insurance, including insurance relating to:

• Equipment and personal property;

• Buildings and contents;

• Business interruption;

• Cybersecurity incidents;

• Commercial operations; and

• Other risks relevant to their circumstances.

Nothing in these Terms should be interpreted as creating an obligation on Sabian Carey to insure client property, data, business operations, or third-party risks unless expressly agreed in writing.

8. Limitation of Liability

To the maximum extent permitted by law:

• Services are provided with reasonable care and skill;

• We do not guarantee uninterrupted availability or error-free outcomes;

• We do not guarantee that services will meet every requirement or expectation;

• We are not liable for indirect, incidental, special or consequential losses;

• We are not liable for loss of profits, revenue, business opportunities, goodwill, or data; and

• Our total liability is limited to the amount paid for the relevant services.

Nothing in these Terms excludes rights or guarantees that cannot be excluded under Australian Consumer Law.

9. Force Majeure

We are not liable for delays or failure to perform services caused by circumstances beyond our reasonable control.

These may include:

• Severe weather;

• Natural disasters;

• Government restrictions;

• Illness or injury;

• Internet or telecommunications outages;

• Equipment failure;

• Airspace restrictions;

• Emergency services operations; or

• Other unforeseen events.

Where practical, we will make reasonable efforts to reschedule or continue services.

10. Intellectual Property

Nothing in these Terms transfers ownership of a client’s existing intellectual property, business information, trademarks, trade secrets, data, or other proprietary rights.

Unless otherwise agreed in writing:

• Sabian Carey retains ownership of the intellectual property rights in original materials created by us during an engagement;

• Clients receive a non-exclusive licence to use delivered work for its intended purpose upon full payment;

• Clients may not resell, redistribute, reproduce, or modify work beyond the agreed purpose without permission.

This includes, where applicable:

• Photographs;

• Drone imagery and video;

• Documentation;

• Templates;

• Scripts;

• Automation tools;

• Designs;

• Technical documentation; and

• Other creative or technical works produced by us.

Sabian Carey reserves the right to photograph, record or otherwise document works undertaken for record-keeping, quality assurance, training, portfolio or promotional purposes, unless otherwise agreed in writing or where confidentiality obligations apply.

Third-party software, fonts, images, music, cloud services or licensed materials remain subject to their own licence terms.

Nothing in this section overrides any confidentiality obligations, privacy rights, or model release agreements that may apply to a particular engagement.

11. Cancellation and Rescheduling

Either party may cancel services before work begins.

If cancellation occurs after work has commenced, fees may apply for:

• Time already spent;

• Travel expenses;

• Booked equipment;

• Purchased materials; and

• Non-refundable expenses.

Deposits, where charged, may be non-refundable unless otherwise agreed.

Where possible, reasonable notice of cancellation or rescheduling is appreciated.

Sabian Carey respects your privacy and is committed to protecting your personal information.

Information We Collect

We may collect information including:

• Name;

• Email address;

• Phone number;

• Business information;

• Billing information;

• Images or files you provide;

• Technical information relevant to the services requested; and

• Communications between you and us.

Our website may also automatically collect:

• IP address;

• Browser type;

• Device information;

• Operating system;

• Referring websites; and

• Website usage information.

How We Use Information

We may use information to:

• Respond to enquiries;

• Deliver services;

• Issue invoices;

Scope of Advice

Advice and recommendations are based on information available at the time.

Recommendations do not constitute guarantees of:

• Performance;

• Suitability;

• Profitability;

• Security;

• Compatibility; or

• Future availability.

Clients remain responsible for decisions made based on advice provided.

Client Data and Backups

Clients remain responsible for their own:

• Data;

• Backups;

• Recovery procedures; and

• Business continuity arrangements.

Unless expressly included in writing, Sabian Carey is not responsible for creating, testing, verifying or maintaining backups.

While reasonable care is taken, we are not responsible for:

• Data loss;

• Corrupted files;

• Failed backups;

• Business interruption;

• Software licence issues; or

• Failures of third-party systems.

Remote Access

You authorise us to access systems, devices, networks or accounts as reasonably necessary to provide services.

You are responsible for ensuring:

• You have authority to grant access;

• Credentials supplied are accurate; and

• Appropriate permissions have been obtained.

Third-Party Products and Services

Many IT services rely on products and services supplied by third parties.

These may include, but are not limited to:

• Internet Service Providers (ISPs);

• Cloud storage and cloud computing providers;

• Email and productivity platforms;

• Domain name registrars and DNS providers;

• Website hosting providers;

• Hardware manufacturers and distributors;

• Software vendors;

• Security and antivirus providers; and

• Payment processors and financial platforms.

Examples may include Google Workspace, Microsoft 365, GoDaddy, AWS, Dropbox, Synology, Dell, HP, Lenovo, Adobe and other comparable services.

Sabian Carey may recommend, configure, integrate or provide support for third-party products and services. However:

• We do not own or control third-party systems;

• We do not guarantee ongoing availability, pricing, compatibility or performance;

• We are not responsible for outages, security incidents, policy changes, discontinued products or decisions made by third parties; and

• Warranties or guarantees are provided solely by the relevant provider.

Reasonable assistance may be provided in dealing with third parties, however additional fees may apply.

Cybersecurity and Data Protection

While reasonable care is taken, no computer system, network, cloud platform or internet service can be guaranteed to be completely secure.

Sabian Carey does not guarantee protection against:

• Cyber attacks;

• Malware or ransomware;

• Unauthorised access;

• Data breaches;

• Hardware failures;

• Third-party security incidents; or

• Internet outages.

Clients remain responsible for maintaining appropriate security measures unless these services are specifically included as part of an engagement.

These terms apply to photography services.

Bookings

Bookings are confirmed upon acceptance of a quote or written confirmation.

Deposits may be required.

Session dates may be rescheduled due to:

• Weather;

• Illness;

• Equipment failure;

• Safety concerns; or

• Circumstances beyond reasonable control.

Artistic Style

Photography is an artistic service.

You acknowledge familiarity with our portfolio and editing style.

Creative decisions including:

• Composition;

• Lighting;

• Image selection;

• Colour grading;

• Cropping; and

• Retouching

remain at the discretion of the photographer.

Image Delivery

Final images are delivered electronically unless otherwise agreed.

Delivery timeframes are estimates only and may vary depending on:

• Workload;

• Editing requirements;

• Image volume; and

• Technical issues.

Raw files are not supplied unless specifically agreed in writing.

Image Storage

While reasonable efforts may be made to archive images, long-term storage is not guaranteed.

Clients are encouraged to maintain their own copies of delivered images.

Sabian Carey is not liable for loss of archived images after delivery.

Image Usage and Copyright

Sabian Carey retains copyright in all images unless otherwise agreed.

Upon payment in full, clients receive a licence to use delivered images for personal or agreed commercial purposes.

Unless otherwise agreed in writing, Sabian Carey may use images created during an engagement for:

• Portfolio display;

• Website and social media content;

• Marketing and promotional materials;

• Competitions, exhibitions or publications; and

• Professional self-promotion.

Where images involve identifiable individuals, additional permissions or model releases may apply.

Clients may request that images remain private prior to booking. Any such agreement must be confirmed in writing.

Images may not be:

• Resold;

• Re-licensed;

• Commercially redistributed; or

• Substantially altered

without prior permission.

Model Releases and Fine Art Photography

Fine art or artistic nude photography is strictly limited to persons aged 18 years or older.

Valid government-issued identification may be required before a session.

Signed model release documentation may be required before photography commences.

Participants:

• May bring a support person;

• May withdraw consent before or during the session;

• Must not attend while intoxicated or under the influence of illegal drugs; and

• Must conduct themselves respectfully.

Sabian Carey reserves the right to refuse or terminate any session that is:

• Unsafe;

• Unlawful;

• Exploitative;

• Inconsistent with professional standards; or

• Outside the intended artistic scope of the service.

No refunds are guaranteed where a session is terminated due to breaches of these terms.

These terms apply to all drone and aerial imaging services.

Regulatory Compliance

Drone operations are conducted in accordance with applicable Australian laws and regulations.

Flights may be postponed, relocated or cancelled where:

• Weather conditions are unsuitable;

• Airspace restrictions apply;

• Required approvals cannot be obtained;

• Safety risks exist; or

• Emergency services activities are occurring nearby.

Safety and regulatory compliance take priority over project schedules.

The pilot has final authority regarding whether a flight proceeds.

Permissions

Clients are responsible for obtaining:

• Property access permissions;

• Event permissions;

• Landowner permissions; and

• Permissions required from third parties.

We reserve the right to refuse operations where permissions are unclear or safety concerns exist.

Deliverables and Usage

Images and video are supplied in the format agreed before the engagement.

Unless otherwise agreed:

• Raw footage is not included;

• Delivery timeframes are estimates only;

• Sabian Carey retains copyright in all images and video captured during the engagement; and

• Clients receive a non-exclusive licence to use delivered media for the agreed purpose upon payment in full.

Sabian Carey may use images or video captured during an engagement for:

• Portfolio display;

• Website and social media content;

• Marketing and promotional materials;

• Demonstrations of capability; and

• Professional self-promotion.

Where confidentiality, privacy, commercial sensitivity, or security concerns exist, clients should notify us prior to the engagement. Any restrictions on the use of images or video must be agreed in writing.

Operational Limitations

Drone operations are subject to environmental and operational limitations.

We do not guarantee capture of:

• Every requested angle;

• Every requested subject;

• Particular wildlife behaviour;

• Specific weather conditions; or

• Events beyond our reasonable control.
